Pearl Beach Progress Association Incorporated

Notice of special general meeting.

Date 2 September 2023 5:00pm  ( to be immediately followed by the September ordinary general meeting; details to be sent later)

This meeting is for the purpose of approving a revised constitution through voting on the special resolution.  ( see attached)

Our current constitution requires at least 75% of those who vote in person at the special general meeting to approve the revised constitution.

The special resolution for the purposes of Division 2 of the Associations Incorporation Act 2009 (the Act), is that:

1 The existing constitution of the Pearl Beach Progress Association Incorporated is revoked.

2 The Pearl Beach Progress Association Incorporated adopt a new constitution in the form circulated with this resolution.

Notes in support of the revised constitution

This revised constitution is based on the Department of Fair Trading’s Model Constitution September 2022 with specific amendments to suit our association.

There has been consultation with the membership over the last eight months.  

Four iterations of the revised constitution have been circulated.  Where suggestions have been made by members that have not been adopted the working party has endeavoured to explain the reasons for non-inclusion to that individual and at general meetings.

Changes since the version circulated for the July general meeting.

Clause 14 Functions of executive committee

Added new (f) is to appoint life members

Clause 16 sub-clause (2) (d)

Changed the period of nomination to 21 days to ensure time is available to organise an electronic voting process and reasonable time for voting to take place before the announcement of results at the AGM

Clause 20 Treasurer

Added new (f) an audited financial report and balance sheet of the association is presented to the annual general meeting 

Clause 24 Quorum

Deleted sub-clause (6) which limited the members of the executive committee to 11 as it assumed that executive committee members have decreased permanently but the situation only refers to insufficient numbers to form a quorum.  It may mean that there could be a rare circumstance whereby the numbers on the executive committee could increase to 12.  If restricted to 11 it would force the removal of an executive committee member as there had not been a quorum.

Next steps

If the proposed constitution is adopted it will be sent to the Department of Fair Trading and will be effective once it is approved.
